End User License Agreement (EULA) · Version 1.0 · November 2026
IMPORTANT – PLEASE READ CAREFULLY. This agreement is between you (an individual or a legal entity, the “User”) and CBY SMART SOLUTIONS (“CBY”, “we”), the developer of CBY Invoice (the “Software”). By installing, activating or using the Software you confirm that you have read, understood and accept these terms, and that you are at least 18 years old and have full capacity to enter into contracts or, in the case of a legal entity, that you are authorised to represent it. If you do not agree, do not install or use the Software.
CBY grants you a non-exclusive, non-transferable, time-limited license to install and use the Software for your own business, under the terms of this agreement:
You may not:
The Software is protected by copyright laws and international treaties. All rights in the Software, including the CBY name, logo and graphic elements, belong to CBY SMART SOLUTIONS or its licensors. The license grants you only the right to use the Software, not ownership of it. Your business data and the documents you issue belong to you.
The Software requires activation with a valid key. On activation and periodically afterwards, the Software contacts the CBY license server and sends only: the activation key, a technical identifier of the computer, the computer name and the operating system type. This data is used solely to validate the license, prevent unauthorised use and provide support. The Software works offline for up to 30 days after the last successful check; after that, a new online check is required. Your business data is not sent to CBY.
Your business data is stored locally, in your user folder on the computer. The Software communicates with external services only for the features you use:
For the personal data of your clients, employees or partners, you are the data controller under the data protection law that applies to you (for example the UK GDPR and the Data Protection Act 2018, or the applicable US state laws) and are responsible for the legal basis of the processing. For questions about the data processed by CBY, contact us at www.cbysoft.com.
The Software is a tool that helps you issue and manage documents. You are solely responsible for the accuracy of your data and of the documents you issue (prices, VAT or sales tax rates and exemptions, exchange rates, invoice numbers, identification details), for registering for and accounting for VAT or sales tax where required, for filing your tax returns (for example with HMRC or your state tax authority) and for complying with tax and accounting law and record-keeping rules. The Software does not file tax returns and does not replace the advice of an accountant or tax adviser. You are also responsible for keeping your passwords safe and for making regular backups (the Backup feature), including before reinstalling your computer.
CBY may provide updates that fix errors, improve security, add features or adapt the Software to changes in the law or in third-party services. We recommend installing updates. Updates are subject to this agreement or its updated version. Support is provided through the channels published at www.cbysoft.com, within the limits of the purchased license.
The Software includes open-source components used under their own licenses, which take precedence for those components: the Python language and its standard library (Python Software Foundation License) and the Go language and its libraries (BSD 3-Clause). The full texts of these licenses are available in the application (Settings → License → Third-party licenses). This agreement does not limit the rights those licenses give you. Companies House, HMRC and other names belong to their respective owners; the Software is not an official product of any tax authority.
CBY warrants that the Software will perform substantially as described. Apart from this warranty and to the maximum extent permitted by law, the Software is provided “as is”, without any other express or implied warranties, including merchantability, fitness for a particular purpose or uninterrupted, error-free operation. CBY is not responsible for the unavailability of, or changes to, third-party services. Your statutory consumer rights are not affected.
To the maximum extent permitted by law, CBY is not liable for indirect, incidental or consequential damages, including loss of data, profits or revenue, or fines, penalties or interest imposed by authorities, arising from the use of or inability to use the Software. CBY’s total liability in connection with the Software is limited to the price paid for the license in the last 12 months. These limitations do not apply to intentional misconduct or gross negligence, or where the law does not allow liability to be limited.
This agreement is valid for the license period. It terminates automatically if you breach its terms. On termination you must stop using the Software and uninstall it. Your business data remains in your user folder; we recommend making a backup and exporting the documents you need, as the law may require you to keep them.
The Software is sold as a digital licence: the activation key is delivered electronically immediately after payment. By completing your purchase you expressly request immediate delivery and acknowledge that you lose any right to cancel or withdraw once the activation key has been delivered. For this reason, purchased licences cannot be returned, exchanged or refunded, and an activation key that has been delivered is not refundable whether or not it has been used. This does not affect your statutory rights if the Software is faulty or not as described; in that case contact us at www.cbysoft.com and we will repair or replace it or, where the law requires it, refund you.
This agreement is governed by the law of the country where you purchased and use the Software: if you are in the United Kingdom, by the laws of England and Wales (or, if you are a consumer living in Scotland or Northern Ireland, by the laws of that part of the United Kingdom); if you are in the United States, by the laws of the United States and of the State in which you are located, excluding its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute will first be settled amicably by contacting us at www.cbysoft.com; if that is not possible, it will be settled by the competent courts at CBY’s registered office in Romania. If you are a consumer, you may also bring proceedings in the courts of the place where you live. Nothing in this section limits the rights you have as a consumer under the law of the place where you live.
CBY is not liable for failing to perform, or for delay in performing, its obligations due to events beyond its reasonable control, such as natural disasters, power or internet outages, cyber-attacks, acts of authorities, changes in the law or the unavailability of third-party services.
CBY may assign or transfer its rights and obligations under this agreement to another entity (for example, in a reorganisation or sale of the business), without affecting your acquired rights. You may not assign this agreement or the licence without CBY’s prior written consent.
If any provision of this agreement is held invalid, the remaining provisions stay in force. CBY may update these terms; the current version is available in the application (Settings → License) and at www.cbysoft.com. In case of differences between this English version and any translation, the English version prevails.
